The Shaw Group Inc. Announces Proposed $200 Million Equity Offering; Company to Use Net Proceeds to Retire a Portion of its Outstanding LYONs

BATON ROUGE, La., Oct 16, 2003 (BUSINESS WIRE) -- The Shaw Group Inc. (NYSE:SGR) today announced it will pursue a sale of approximately $200 million of its common stock as soon as practicable. The Company intends to use the net proceeds of any such offering to fund repurchases of its outstanding Liquid Yield Option(TM) Notes due 2021 (Zero Coupon -- Senior) (LYONs).

This announcement is neither an offer to sell nor a solicitation of an offer to buy any of these securities nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of such state.
