Shaw Announces Common Stock Offering; Company Intends to Use Net Proceeds to Tender for Its Outstanding Senior Notes

BATON ROUGE, La.--(BUSINESS WIRE)--April 4, 2005--The Shaw Group Inc. (NYSE: SGR) today announced that it plans to sell up to 12.5 million shares of its common stock for expected estimated net proceeds of up to $262.5 million, based on an assumed offering price of $22.17 per share (the NYSE composite closing price for the common stock on April 1, 2005), after deducting underwriting discounts and commissions and estimated offering expenses. The Company intends to use the net proceeds of the offering along with other available funds to fund a tender offer, which Shaw also announced today, for its outstanding 10 3/4 % Senior Notes Due 2010.

Credit Suisse First Boston, UBS Investment Bank and Merrill Lynch & Co. will act as joint book-running managers for the offering.
